Welcome to Davinci Creative Studios (“Company,” “we,” “our,” or “us”). By purchasing any of our design or branding services, you (“Client”) agree to the following Terms of Service (“Agreement”).


1. Services

We provide creative design, branding, and content execution services, including but not limited to:

  • Design packages (Single Vision Pack, Starter Pack, Collection Pack)

  • Rebrand services

  • Content execution and strategy

All services are outlined on our website and/or communicated to you upon engagement.


2. Payments, Deposits & Refunds

  • We operate on a deposit-based payment system. A deposit of 33% of the total service fee is required to begin work, with the remaining balance due upon project completion.

  • Upon deposit payment, we securely save your payment information to automatically charge the remaining balance upon project completion.

  • We do not offer refunds once work has started. However, we provide revisions based on the package selected.

  • Any additional work outside of the agreed scope may incur extra charges.

  • The Execution Package may be canceled anytime, but refunds are not provided for months already paid.


3. Revisions & Approval

  • Each package includes a set number of revisions. Additional revisions will be charged at an hourly rate of $25/hour.

  • Once the final design or content is approved, any further modifications will be billed separately.

  • All feedback must be provided within 48 hours of receiving drafts to maintain project timelines.


4. Delivery Timelines

  • Timelines for each package are specified in the service descriptions (e.g., 3-7 days for design packages, 2 weeks for rebrands, and ongoing for execution services).

  • Delays due to lack of Client communication or incomplete information will not be our responsibility.


5. Client Responsibilities

  • The Client must provide clear instructions, necessary assets, and timely feedback.

  • Any delays in providing feedback or materials may result in project delays.

  • For Execution Packages, the Client must provide necessary brand assets and be available for scheduled calls.


6. Intellectual Property & Usage Rights

  • We retain ownership of all designs until the final payment is received.

  • Upon full payment, the Client receives commercial rights to the designs for their brand usage.

  • We reserve the right to showcase work in our portfolio and marketing materials unless otherwise agreed upon in writing.


7. Pre-Made Design Licensing

  • Clients who purchase pre-made designs are granted a non-exclusive, non-transferable license to use and sell the design.

  • Davinci Creative Studios retains full ownership and intellectual property rights to all pre-made designs.

  • A 1% royalty on net sales is required and must be reported on a quarterly basis.

  • Davinci reserves the right to audit the Client’s reported figures at any time.

  • Failure to report sales or provide audit documentation will result in immediate license termination.

  • Upon license termination, the Client must immediately cease all use and sales of the design. Continued use after termination will result in legal enforcement.

  • In exchange, Davinci Creative Studios agrees to indemnify the Client against any infringement or DMCA claims related to the licensed design.


8. Product-Specific Policies

  • AI Mockup Service: This service uses AI to generate hyper-realistic clothing mockups. Due to the limitations of AI, results are not guaranteed to be perfect. No refunds are offered for this service.

  • Mockup Pack & Manufacturer List: These are downloadable resources that will be updated over time. No refunds will be provided for these products.


9. Confidentiality & Non-Disclosure

  • Both parties agree to keep confidential any proprietary information exchanged during the project.

  • We will not disclose Client strategies, designs, or marketing plans to third parties.


10. Limitation of Liability

  • We are not responsible for manufacturing issues, printing errors, or third-party alterations.

  • Any project delays caused by the Client do not entitle the Client to a refund.


11. Termination & Cancellation

  • Either party may terminate this agreement if the other party breaches any terms.

  • Termination requests must be made in writing.

  • The Client remains responsible for payments of work already completed.


12. Dispute Resolution

  • Any disputes shall first be attempted to be resolved through mutual communication.

  • If unresolved, disputes shall be settled through arbitration in [Your State/Country].


13. Changes to Terms

We reserve the right to update these terms at any time. Clients will be notified of any major changes.
